Terms of Business and Conditions of Sale
All orders for goods accepted by Harfield Components Ltd ("the Vendor") are accepted subject to the following conditions that shall form part of and govern the contract of sale. Acceptance of goods shall be deemed to be acceptance of these conditions of sale. No agent or representative of the vendor has the authority to vary these conditions unless endorsed in writing by a Director of the vendor company or the General Manager. Please note: All products will be shipped at the price agreed on the date of order regardless of what any other price list reflects. Up to date prices can be found by calling our sales office on 0161 477 5678. Terms: Orders are shipped with any costs shown where appropriate.
1. Payment, Delivery and Price
a. Payment terms for new customers are payment in advance of despatch, following orders once an account is up and running are nett 30 days from date of invoice, unless otherwise specified in writing by a Director or the General Manager of the vendor. Failure to adhere to this payment terms may result in loss of special terms, account being put on hold or any other reasonable action deemed necessary by the Vendor. Where settlement terms have been agreed, failure to pay within the time period specified will result in loss of such terms. We reserve the right to charge interest on any invoices paid outside our agreed terms and conditions.
b. The Vendor shall normally despatch goods to the purchaser on the date of receipt of order, unless a specified date is requested by the vendor, or shall notify the purchaser if goods are unavailable or if there is any delay. In the event of an item being unavailable we will offer the purchaser an alternative or give the purchaser an estimated date of delivery.
c. In the event that any goods are unavailable the Vendor shall notify the purchaser if only part of an order can be fulfilled and offer the purchaser the opportunity to accept part of the order.
2. Liability
a. Liability for any claim for damage by the purchaser shall diminish with delay in notification to the vendor and the purchaser should notify the vendor of any damage to goods within three days of delivery.
b. The vendor’s liability may diminish in the event of a delay in notification by the purchaser to the vendor of missing items within a reasonable period from the date of delivery and such notification should be made within three days of delivery.
c. In the event that goods differ in quantity or description from those ordered the purchaser shall notify the vendor in writing within three days and failure to do so could diminish the liability of the vendor.
3. Returned Goods
a. The vendor reserves the right to charge a fee on goods returned for credit which are damaged or not in stock condition where notification has not been given by the purchaser of any damage to the goods when making any returns
b. The purchaser shall unless otherwise stated be responsible for the cost of return of all goods to the vendor and the goods shall be at the risk of the purchaser until actual receipt of the goods by the vendor. The onus of proof of safe delivery shall rest with the purchaser.
c. All items claimed to be faulty or damaged dispatched for return to the vendor more than 14 days from the date of delivery and found to contain no fault will not be subject to a refund and may be returned to the purchaser. In the event it becomes necessary to recover goods which are not faulty the costs of recovery shall be the responsibility of the purchaser.
d. The vendor shall give a guarantee to refund to the purchaser full credit for any goods returned in stock condition provided they are dispatched for return within 7 working days of delivery which shall not affect the statutory rights of the consumer or purchaser under consumer protection legislation in the Country or State of delivery
e. No credit shall be allowed for goods until they have been received complete.
f. A full credit including carriage costs shall be given by the vendor to the purchaser in the event that goods are faulty or damaged at the time of delivery and notice of fault or damage is given by the purchaser to the vendor within three days of delivery
g. Refused Shipments: Shipments returned marked refused will not result in refund and refusal of a shipment does not relieve the customers liability for paying any carriage charges incurred in the return of the goods to the vendor
4. Consequential Loss
The extent of the vendor liability to the purchaser for any default or breach whatsoever and howsoever arising shall in no case exceed the invoice value of the goods and the vendor shall in no circumstances whatsoever be liable to the purchaser in respect of any loss or damage whether suffered by the purchaser or by any customer of the purchaser and whether direct or indirect consequential or howsoever arising except where the parties to the transaction could have contemplated such a loss at the time of the contract
5. Law
a. If any part of these terms and conditions shall be found to be unlawful it shall not affect the validity or enforceability of the remainder of the conditions provided the contract is capable of continuing without such terms and conditions
b. These terms shall be deemed to have been made in England and shall in all respects be governed by English Law except where the statutory rights of consumers within the European Union are otherwise protected within the law of the state or country of delivery
c. In respect of consumer statutory rights within the European Union these are unaffected by these terms and conditions.
